The property is illegally occupied by third parties and without properly contracted utilities. The Property will be transferred: (i) as a specific, lump-sum property (ii) as a whole, inseparably (iii) in the registry and cadastral status in which it is found (iv) in the physical, quality, legal, urban planning, administrative, licensing, protection, conservation, and cleanliness status in which it is found (v) up to date with expenses and taxes that by law correspond to the Seller and (vi) without provision of services and utilities. The Purchaser shall assume (i) the physical situation and state of conservation (ii) the urban planning situation (iii) discrepancies between the physical reality and the registry and cadastral reality or in the area of the Property (iv) the registry and cadastral adequacy of the Property and (v) the procedures involved in obtaining Judicial Possession of the Property. The Property will not be liable for (i) the state of conservation (ii) visible and apparent defects (iii) registry or cadastral regularization (iv) discrepancies in area, which may exist (v) responsibility in obtaining the certificate of habitability of the Property, unless it is mandatory in the Autonomous Community where the Property is located and (vi) any costs, expenses, fees, tariffs, or taxes arising from the foregoing. If, as of the date of sale, the Property has judicially demanded possession, the purchaser may be subrogated in said demand, without being able to claim any amount from the Property as a consequence thereof, except for the fees of lawyers and court representatives that have been incurred up to the date of transfer, which, in any case, will be borne by the purchaser. If, on the date of sale, the Property has filed a criminal complaint that is ongoing, the sale will be communicated to the Court, with the Property withdrawing from the proceedings as a private prosecutor. The state of occupation and/or impediments to the property being freely visited by technicians would prevent: i) its official appraisal as required by Order ECO/805/2003, of March 27, for which the property, while the occupational situation persists, could not be mortgaged, consequently, mortgage financing could not be established on this type of property, whose acquisition will require the granting of other types of guarantees if financing is requested and ii) the obtaining by the property of the energy efficiency certificate. The sale price of this Property has been determined based on the aforementioned circumstances, which have resulted in a lower value thereof, and which must be expressly accepted by the purchaser upon formalization of the transfer of the Property.
